Le <strong>bail r\u00e9sidentiel<\/strong> concerne les biens \u00e0 usage d\u2019habitation. Le <strong>bail professionnel<\/strong> quant \u00e0 lui concerne les locaux \u00e0 usage tertiaire. Enfin, le <strong>bail commercial<\/strong> peut \u00eatre d\u00e9fini comme \u00e9tant le contrat par lequel une personne (le bailleur) loue un local \u00e0 un exploitant (commer\u00e7ant, entreprise ou artisan) (le preneur) afin que ce dernier puisse y exercer une activit\u00e9 commerciale. Ce local doit servir \u00e0 l\u2019exploitation d\u2019un fonds de commerce. Lors de la signature d\u2019un bail commercial, le locataire et le bailleur d\u00e9pendent d\u2019un ensemble de r\u00e8gles du statut des baux commerciaux.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Les principales r\u00e8gles applicables aux baux commerciaux<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Pour exploiter son local commercial, une entreprise (le locataire) devra signer un bail commercial avec le propri\u00e9taire (le bailleur). L\u2019ensemble des parties d\u00e9pendent de certaines r\u00e8gles qui s\u2019appliquent automatiquement au contrat de bail commercial, celles-ci devant obligatoirement figurer lors de la signature du contrat.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Un bail commercial a une dur\u00e9e l\u00e9gale de 9 ans renouvelable ou pas \u00e0 chaque \u00e9ch\u00e9ance triennale et s\u2019\u00e9teint en principe par la d\u00e9livrance d\u2019un cong\u00e9 six mois avant l\u2019\u00e9ch\u00e9ance du terme convenu. Le locataire dispose d\u2019un droit de renouvellement du bail au terme des 9 ann\u00e9es de contrat. Si le bailleur refuse le renouvellement, il doit motiver son cong\u00e9 en versant une indemnit\u00e9 d\u2019\u00e9viction, sauf en cas de motif grave et l\u00e9gitime pr\u00e9vu par la loi.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Cependant, le bail peut s\u2019\u00e9teindre de fa\u00e7on anticip\u00e9e par r\u00e9siliation, c\u2019est-\u00e0-dire avant le terme des neuf ann\u00e9es du bail. En effet, selon les modalit\u00e9s du bail, chaque partie peut avoir ou non la possibilit\u00e9 de r\u00e9silier le bail \u00e0 chaque \u00e9ch\u00e9ance triennale, soit tous les trois ans \u00e0 compter de la date d\u2019effet du bail. L\u2019avantage pour le locataire est qu\u2019il n\u2019a pas de motif \u00e0 invoquer, l\u00e0 o\u00f9 le bailleur doit justifier d\u2019un motif l\u00e9gitime pr\u00e9vu par la loi. \u00c0 l\u2019issue des neuf ann\u00e9es, si aucun renouvellement n\u2019a \u00e9t\u00e9 conclu, le bail se poursuit pour une dur\u00e9e ind\u00e9termin\u00e9e. Chaque partie peut alors donner cong\u00e9 en respectant un pr\u00e9avis de 6 mois et ce m\u00eame si aucun renouvellement officiel du bail n\u2019a \u00e9t\u00e9 consenti.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">La r\u00e9vision du loyer est triennale, c'est-\u00e0-dire que les parties se r\u00e9servent une facult\u00e9 d\u2019ajustement du loyer \u00e0 la r\u00e9elle valeur locative du march\u00e9 \u00e0 un moment donn\u00e9. Celle-ci peut \u00e9maner de chacune des parties du contrat. Si la r\u00e9vision triennale ou annuelle s\u2019applique par d\u00e9faut, il est possible pour les parties de n\u00e9gocier une clause conventionnelle pour d\u00e9finir les modalit\u00e9s d\u2019indexation du loyer (afin qu\u2019elle suive l\u2019\u00e9volution de l\u2019indice de r\u00e9f\u00e9rence - ILC ou ILAT). C\u2019est ce qu\u2019on appelle la clause d\u2019indexation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>L\u2019indexation des loyers, une particularit\u00e9 technique des baux commerciaux<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">L\u2019indice de r\u00e9f\u00e9rence pris en compte pour r\u00e9viser le montant du loyer d\u00e9pend de l\u2019activit\u00e9 exerc\u00e9e. Dans le cas d\u2019une activit\u00e9 commerciale, <strong>l\u2019indice des loyers commerciaux<\/strong> (ILC) ou <strong>l\u2019indice des loyers d\u2019activit\u00e9 tertiaire<\/strong> (ILAT) s\u2019applique. Tout deux sont publi\u00e9s de mani\u00e8re trimestrielle par l\u2019INSEE, leur calcul s\u2019effectue en faisant la somme pond\u00e9r\u00e9e de diff\u00e9rents sous-indices,pour l\u2019ILC il s\u2019agit de :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>l\u2019<strong>indice des prix \u00e0 la consommation<\/strong> (IPC), instrument qui permet de calculer l\u2019inflation sur une p\u00e9riode donn\u00e9e en analysant la variation des prix des produits consomm\u00e9s par les m\u00e9nages.&nbsp;<\/li>\n\n\n\n<li>l<strong>\u2019indice du co\u00fbt de la construction<\/strong> (ICC), cet indice analyse l\u2019\u00e9volution des prix des b\u00e2timents neufs \u00e0 usage principal d\u2019habitation en France m\u00e9tropolitaine.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">La pond\u00e9ration dans l\u2019ILC est la suivante : 75% IPC , 25% ICC.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">D\u00e8s lors que le bail commercial int\u00e8gre une clause d\u2019indexation annuelle, la formule utilis\u00e9e pour r\u00e9viser le loyer est la suivante :&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Loyer index\u00e9 =&nbsp; <\/strong><strong>Loyer  x (<\/strong><strong>ILC n \/ <\/strong><strong>ILC n-1)<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>Prenons un exemple de calcul :<\/em>&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Soit un locataire ayant un loyer de 1200 euros avec un indice de r\u00e9f\u00e9rence fix\u00e9 au premier trimestre. Les derniers indices de r\u00e9f\u00e9rences publi\u00e9s sont les suivants : 120,61 au T1 2022 et 116,73 au T1 2021, ce qui nous donne :&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">1200 x (120,61\/116,73) = 1239,89 \u20ac, correspondant au nouveau loyer r\u00e9vis\u00e9\/index\u00e9.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Concernant L\u2019ILAT, le calcul s\u2019effectue avec la somme pond\u00e9r\u00e9e de <strong>3<\/strong> sous-indices :&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>l\u2019<strong>indice des prix \u00e0 la consommation<\/strong> (IPC), instrument qui permet de calculer l\u2019inflation sur une p\u00e9riode donn\u00e9e en analysant la variation des prix des produits consomm\u00e9s par les m\u00e9nages.&nbsp;<\/li>\n\n\n\n<li>l<strong>\u2019indice du co\u00fbt de la construction<\/strong> (ICC), cet indice analyse l\u2019\u00e9volution des prix des b\u00e2timents neufs \u00e0 usage principal d\u2019habitation en France m\u00e9tropolitaine.&nbsp;<\/li>\n\n\n\n<li><strong>le niveau du produit int\u00e9rieur brut en valeur<\/strong>, mesur\u00e9 \u00e0 partir du produit int\u00e9rieur brut en valeur, corrig\u00e9 des variations saisonni\u00e8res et des jours ouvrables (PIB) publi\u00e9s trimestriellement par l\u2019INSEE.&nbsp;<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">La formule de calcul du loyer index\u00e9 avec l\u2019ILAT est similaire \u00e0 celle de Loyer index\u00e9 avec l\u2019ILC.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Dans le contexte actuel de forte inflation, les pouvoirs publics souhaitent prot\u00e9ger les entreprises contre la hausse importante des loyers. En effet, comme indiqu\u00e9 pr\u00e9c\u00e9demment, la r\u00e9vision des loyers bas\u00e9e sur l\u2019ILC ou l\u2019ILAT est fortement sensible \u00e0 l'inflation. Ainsi la loi relative \u00e0 la protection du pouvoir d\u2019achat <span style=\"text-decoration: underline;\">vient plafonner l\u2019indexation des baux commerciaux \u00e0 3,5% pendant un an<\/span>. Cependant cette mesure ne s\u2019applique que pour les entreprises qui emploient moins de 250 personnes et dont le CA n'exc\u00e8de pas 50 millions d\u2019euros.
